These Terms of Use are a public offer by Chattler LLC (the Operator) and set out the conditions for using the Chattler platform. Registering on the Platform constitutes acceptance of this offer and full agreement with its terms.
The Operator grants the User access to the Platform on these Terms, and the User undertakes to observe them and to pay for paid features.
Registration means the User has read these Terms, agrees to them in full and without reservation, and accepts the Privacy Policy published on the same website. A User who disagrees with any condition may not use the Platform.
A User registering on behalf of an organisation confirms they are authorised to accept these Terms for it.
The User provides accurate registration data and keeps it current. An account is personal.
The User is responsible for keeping the password and other access credentials safe, and controls which of their staff can reach the workspace and the connected channels. Everything done under the User account is deemed done by the User.
Any unauthorised access must be reported to support@chattler.ai without delay.
The Platform lets the User:
The Operator develops the Platform and may add, change, or discontinue individual features. Material changes are notified as described in section 13.
By connecting an external platform account, the User confirms they are entitled to control it, and accepts responsibility for the content of the system prompt and for every message the AI agent sends on their behalf. The User must inform their own customers that the conversation is handled by an automated system.
With respect to the personal data of Contacts, the User acts as the data controller: they determine the purposes and scope of processing, ensure a lawful basis exists, and answer requests from data subjects. The Operator processes such data on the User instructions, to the extent needed for the Platform to work. The Privacy Policy describes how.
The User alone decides what to upload to the knowledge base and confirms they are entitled to use those materials.
The User may not use the Platform to:

The Operator may disconnect an integration, suspend an AI agent, or restrict access to the Platform if it receives notice of a breach from a platform, if it establishes a breach itself, or if keeping the integration in place risks the Operator application being blocked by the platform. A disconnection on this ground does not entitle the User to a refund for services already rendered.
AI agent answers are produced by a generative model, may contain inaccuracies, and are not an offer, a warranty, or advice from the Operator.
The User understands and accepts that a generative model can state things that are not true, including where a knowledge base has been uploaded. Checking that answers are accurate and lawful is the User responsibility. The Operator advises against letting an AI agent take legally significant actions without the User oversight.
The Platform relies on models supplied by third parties. The set of available models may change, including for reasons outside the Operator control.
The Platform is paid for on a pay-as-you-go basis. The cost of tokens processed by the model, of extension calls, and of other chargeable operations is deducted from the User balance at the rates in force at the time of the operation and published on the Platform.
The User tops up the balance through the connected payment provider. Bank card details are neither passed to nor stored by the Operator.
The Operator may grant bonus funds. Bonus funds are spent first, cannot be withdrawn, and may carry an expiry date.
When the balance is insufficient, chargeable operations are suspended. An unspent balance is refunded on request sent to support@chattler.ai, in the manner and within the time limits set by the law of the Russian Federation.
Exclusive rights to the Platform, its source code, design, and other materials belong to the Operator. These Terms transfer no rights in them to the User beyond the right to use the Platform for its intended purpose while these Terms are in force.
Rights in materials uploaded by the User, including system prompt texts and knowledge base files, remain with the User. The User grants the Operator the right to use those materials solely to the extent needed to operate the Platform: storing, processing, and passing them to model providers so that answers can be produced. The Operator does not use User materials or the conversations in User channels to train machine learning models.
The Operator may suspend access to the Platform in whole or in part where the User breaches these Terms, where there is reasonable suspicion of unlawful use, or at the demand of a competent authority.
The Operator may carry out scheduled maintenance, giving advance notice where practicable.
The User may stop using the Platform at any time and request deletion of the account as described in the Data Deletion document.
The Platform is provided on an as-is basis. The Operator does not warrant uninterrupted operation of external platforms, model providers, or other third-party services the Platform depends on.
To the maximum extent permitted by the law of the Russian Federation, the Operator is not liable for lost profits, indirect losses, or the consequences of actions taken by the User or their Contacts on the basis of AI agent answers.
The Operator liability under these Terms is in any event limited to the amount actually paid by the User over the three calendar months preceding the event giving rise to the claim.
These limitations do not apply where the law does not permit liability to be limited.
The Operator may amend these Terms. A new version is published on the website with its revision date.
Material changes are notified to the User at the email address given on registration, or in the Platform interface, at least ten calendar days before they take effect. Continued use after that date constitutes agreement with the new version. A User who disagrees may stop using the Platform and request a refund of the unspent balance.
These Terms are governed by the law of the Russian Federation. Disputes not settled by negotiation are heard by the court at the Operator location. A pre-action claim procedure applies, with a response period of thirty calendar days.
