Offer for Users of Paid Bots

This document is a translation. The Russian version prevails in case of discrepancy.

This Offer is a proposal by Chattler Limited Liability Company (the Operator) to enter into an agreement on the terms below with any person who uses an AI bot built on the Chattler platform in paid access mode (the Payer). Topping up the Wallet constitutes acceptance of this Offer. Sending messages to the Bot within the free messages or the welcome Bonus also constitutes agreement with the Offer in the part unrelated to payment.

1. Definitions

  • Operator — Chattler LLC, OGRN 1256900007440, INN 6900024213, owner of the Chattler platform.
  • Platform — the Chattler service (chattler.ai) on which AI agents are built and run.
  • Owner — the Platform user who created the Bot and sets its behaviour and the price of a Reply.
  • Bot — the Owner AI agent available in a messenger (as of this revision, Telegram) for which the Owner has enabled paid access.
  • Payer — a person who writes to the Bot and uses paid access.
  • Reply — one message sent by the Bot in response to a Payer message, including any tool actions performed while preparing that message.
  • Wallet — the Payer account with the Operator for a specific Bot, holding the paid balance and the Bonus.
  • Reply price — the amount charged to the Wallet for one Reply under the rules set by the Owner.
  • Bonus — funds credited to the Wallet by the Owner without payment.
  • Earnings account — the Owner account with the Operator to which the Owner earnings from paid access to the Bot are credited.

2. Parties and subject

The Operator provides the Payer with the paid access service to the Bot: it takes payments, maintains the Wallet, charges the Reply price, and delivers Replies. The agreement under this Offer is concluded between the Payer and the Operator.

The content of Replies is determined by the Bot settings made by the Owner: the instructions given to the model, the materials the Owner uploaded, and the tools connected. The Owner is not a party to this Offer but is responsible to the Payer for the content of the Bot as set out in section 3.

A Wallet is kept per Bot and Payer pair. The balance of one Wallet cannot be used with another Bot.

3. Owner responsibility for content

The Owner alone decides the purpose of the Bot, the content of its Replies, the price, the number of free messages, and the size of the Bonus, and is responsible for the Bot content complying with the law, the messenger rules, and the description the Owner gave to the Payer.

Claims concerning the content of Replies, their completeness, accuracy, or fitness for the Payer purposes are addressed to the Owner. The Operator does not review the content of Replies before they are sent.

The Operator may switch off paid access or the Bot itself if the Owner breaches the Platform terms of use or the messenger rules. The Wallet balance is retained and may be refunded on request under section 8.

4. Nature of AI replies

Replies are produced by a generative language model and may contain inaccurate, outdated, or incorrect information. Replies are not advice, a warranty, or an offer by the Operator. Decisions made on the basis of Replies are taken at the Payer own risk.

5. Reply price and currency

All amounts under this Offer — the Wallet balance, top-ups, prices, and charges — are expressed in United States dollars (USD). Payment in another currency is converted by the payment provider at its rate at the time of payment.

The Owner chooses one of the pricing models:

  • a fixed price per Reply;
  • the cost of the Reply plus the Owner markup — the Reply price then depends on the amount of text processed and the tools used, and the Bot shows an estimated price;
  • a fixed price per Reply combined with a markup on the tools used.

The price of one Reply cannot exceed the cap set by the Owner, which is at most 5 US dollars per Reply. In the pricing models that use a markup, the Owner markup on cost does not exceed 500 percent. Under any pricing model no more than that cap is charged to the Wallet for one Reply.

The current price or its estimate is available to the Payer via the /balance command and in the Bot message asking for a top-up. A price change by the Owner applies only to messages sent after the change.

A charge is made only for a delivered Reply. If a Reply was not produced or delivered, nothing is charged. Before preparing a Reply the Operator compares the expected price with the Wallet balance; if funds are insufficient, the Bot does not reply, asks for a top-up, and the Payer message is kept. If the actual price of a Reply already in progress exceeds the balance, the Wallet may go slightly negative — only within that one Reply and never beyond the price cap; that debt is settled from the next top-up.

6. Topping up the Wallet

The Wallet is topped up through payment providers connected by the Operator; the Payer chooses the payment method from those the Bot offers. Top-up amounts are fixed and chosen from the list the Bot shows; arbitrary amounts are not accepted. Bank card details are not passed to the Operator and are not stored by it.

The Wallet is credited with the amount actually received by the Operator. Fees of the payment provider, bank, or payment system and currency conversion costs are borne by the Payer; they are not reimbursed and are not credited to the Wallet.

Crediting takes place after the provider confirms the payment. The Bot reports the credited amount and the current balance. A payment not confirmed within the time allowed by the provider is treated as not made.

7. Free messages and Bonus

The Owner may grant the Payer a number of free Replies and (or) credit a Bonus. The Bonus is not the Payer money: it is spent before the paid balance, is not refundable, withdrawable, or exchangeable, and may be cancelled by the Owner or the Operator.

8. Refund of the balance

The unspent paid balance of the Wallet is not refunded automatically and cannot be withdrawn through the Bot. A refund is made by the Operator only upon the Payer request to support@chattler.ai stating the Bot, the messenger account identifier, and the payment that produced the balance, in the manner and within the time limits set by the law of the Russian Federation.

Only the paid balance is refundable; the Bonus and charges for Replies already delivered are not refunded. The refund is made by the same method used for payment where the provider allows it; provider fees on a refund are borne by the Payer.

The Operator may refuse a refund where there are signs of abuse, including disputing the payment with the bank in parallel with a refund request.

9. Switching off paid access or the Bot

If the Owner switches paid access off, the Wallet balance is preserved and used when paid access is enabled again. If the Bot is switched off or deleted, the Payer may request a refund of the balance as set out in section 8.

10. Personal data

To maintain the Wallet and settle charges the Operator processes the Payer messenger account identifier, name and username, and the records of top-ups and charges. For this data the Operator acts as the data controller; the legal basis is performance of this Offer and accounting law requirements.

The content of the conversation with the Bot is processed on the instructions of the Owner, who determines the purposes and scope of processing; to produce Replies the conversation is passed to language model providers, including outside the Russian Federation. Details, retention periods, and the deletion procedure are described in the Privacy Policy and the Data Deletion document.

Requests concerning Wallet data are sent to the Operator at support@chattler.ai; requests concerning the conversation content are sent to the Owner.

11. Restrictions

The Payer must not use the Bot for unlawful purposes, attempt to access other persons data, or circumvent Wallet limits. If a payment is disputed with the bank (chargeback), the Operator may withhold the disputed amount from the Owner earnings account or block payouts until the dispute is resolved, and may suspend Replies for that Wallet until then. The Operator may block the Wallet in case of fraud or a breach of this section.

12. Operator liability

The service is provided as is. The Operator is not liable for the content of Replies, for the availability of the messenger, payment providers, or model providers, or for the actions of the Owner. To the extent permitted by law, the Operator liability to the Payer is limited to the amount of Wallet top-ups over the three calendar months preceding the event giving rise to the claim. These limitations do not apply where the law does not permit them.

13. Changes to this Offer

The Operator may amend this Offer. A new version is published on chattler.ai with its revision date. Topping up the Wallet after publication constitutes agreement with the new version.

14. Governing law and details

This Offer is governed by the law of the Russian Federation. Disputes are subject to a pre-action claim procedure with a response period of thirty calendar days and, failing agreement, are heard by a court in accordance with the law of the Russian Federation.
