This document is a translation. The Russian version prevails in case of discrepancy.

These Terms of Use are a public offer by Chattler LLC (the Operator) and set out the conditions for using the Chattler platform. Registering on the Platform constitutes acceptance of this offer and full agreement with its terms.

1. Definitions

  • Operator — Chattler LLC, registration number (OGRN) 1256900007440, tax number (INN) 6900024213.
  • Platform — the chattler.ai website, the app.chattler.ai web application, the chat widget for the User website, the public chat page, AI agents, the knowledge base, integrations with external platforms, and extensions. These Terms cover all of the above, not the website alone.
  • User — a person who has registered on the Platform.
  • AI agent — a software assistant, configured by the User, that holds conversations on the User behalf in connected channels.
  • Channel — an external platform or a Platform-native interface through which the AI agent communicates: Instagram, Threads, Telegram, WhatsApp, VK, Avito, the chat widget, the chat page.
  • Contact — a person who reaches the User through a connected Channel.
  • Extension — an external tool or service connected to an AI agent.

2. Subject and acceptance

The Operator grants the User access to the Platform on these Terms, and the User undertakes to observe them and to pay for paid features.

Registration means the User has read these Terms, agrees to them in full and without reservation, and accepts the Privacy Policy published on the same website. A User who disagrees with any condition may not use the Platform.

A User registering on behalf of an organisation confirms they are authorised to accept these Terms for it.

3. Registration, account, and access security

The User provides accurate registration data and keeps it current. An account is personal.

The User is responsible for keeping the password and other access credentials safe, and controls which of their staff can reach the workspace and the connected channels. Everything done under the User account is deemed done by the User.

Any unauthorised access must be reported to support@chattler.ai without delay.

4. What the Platform does

The Platform lets the User:

  • create and configure AI agents, setting their system prompt, model, and behaviour;
  • upload materials to a knowledge base so that answers draw on them;
  • connect channels and hold conversations in them through an AI agent;
  • connect extensions and external services that widen what an agent can do;
  • review conversations, step into them manually, and switch automatic replies off;
  • track statistics and spending.

The Operator develops the Platform and may add, change, or discontinue individual features. Material changes are notified as described in section 14.

5. The User as the owner of a channel

By connecting an external platform account, the User confirms they are entitled to control it, and accepts responsibility for the content of the system prompt and for every message the AI agent sends on their behalf. The User must inform their own customers that the conversation is handled by an automated system.

With respect to the personal data of Contacts, the User acts as the data controller: they determine the purposes and scope of processing, ensure a lawful basis exists, and answer requests from data subjects. The Operator processes such data on the User instructions, to the extent needed for the Platform to work. The Privacy Policy describes how.

The User alone decides what to upload to the knowledge base and confirms they are entitled to use those materials.

6. Restrictions on use

The User may not use the Platform to:

  • send messages to people who have not consented to receive them, or take any other action amounting to spam;
  • circumvent technical or contractual limits set by external platforms, including limits on the frequency and nature of messages;
  • process special categories of personal data, or biometric personal data, unless the User has ensured that the legal requirements for such processing are met;
  • distribute content prohibited by law or by the rules of the connected platforms, including material that incites hatred, misrepresents the identity of the sender, or is aimed at fraud;
  • take actions that harm the operation of the Platform or the security of other users, including attempts at unauthorised access and automated data harvesting;
  • pass an AI agent off as a human where the law or the platform rules require that the automated nature of the conversation be disclosed.

7. Compliance with external platform rules

By connecting a channel, the User additionally undertakes to comply with the rules of the platform concerned, including:

  • the Meta Platform Terms and the Meta Developer Policies, for Instagram and Threads;
  • the Telegram terms of service and bot rules;
  • the WhatsApp terms of service;
  • the VK platform rules;
  • the Avito service rules.

The Operator may disconnect an integration, suspend an AI agent, or restrict access to the Platform if it receives notice of a breach from a platform, if it establishes a breach itself, or if keeping the integration in place risks the Operator application being blocked by the platform. A disconnection on this ground does not entitle the User to a refund for services already rendered.

8. How the AI works

AI agent answers are produced by a generative model, may contain inaccuracies, and are not an offer, a warranty, or advice from the Operator.

The User understands and accepts that a generative model can state things that are not true, including where a knowledge base has been uploaded. Checking that answers are accurate and lawful is the User responsibility. The Operator advises against letting an AI agent take legally significant actions without the User oversight.

The Platform relies on models supplied by third parties. The set of available models may change, including for reasons outside the Operator control.

9. Fees and settlement

The Platform is paid for on a pay-as-you-go basis. The cost of tokens processed by the model, of extension calls, and of other chargeable operations is deducted from the User balance at the rates in force at the time of the operation and published on the Platform.

The User tops up the balance through the connected payment provider. Bank card details are neither passed to nor stored by the Operator.

The Operator may grant bonus funds. Bonus funds are spent first, cannot be withdrawn, and may carry an expiry date.

When the balance is insufficient, chargeable operations are suspended. An unspent balance is refunded on request sent to support@chattler.ai, in the manner and within the time limits set by the law of the Russian Federation.

10. Paid access to an AI agent and the earnings account

This section applies to a User who has enabled paid access to an AI agent in the integration settings. Enabling it is possible only after accepting this section in the Platform interface; from that moment the section is an integral part of these Terms for that User.

10.1. What paid access is. With paid access enabled, Contacts pay for AI agent replies from a Wallet: an account the Operator keeps for each AI agent and Contact pair. The Wallet is topped up through the Operator payment providers. The relationship between the Operator and a paying Contact is governed by the Offer for Users of Paid Bots. The User undertakes not to communicate to Contacts any terms that contradict that Offer.

10.2. Price and cost. The User sets the reply price, the number of free messages, the welcome bonus, and the text of the top-up prompt. For every reply, its cost at the current rates is charged to the User balance under section 9, exactly as without paid access. The difference between the amount charged to the Contact Wallet for a reply and the cost of that reply is credited to the User earnings account. Earnings are calculated only from funds actually present on the Wallet at the moment of the charge: an amount charged beyond the balance is not earnings, and its later repayment by the Contact goes to the Operator. If the amount charged to the Wallet is less than the cost, the shortfall stays with the User. Free messages and replies paid with the welcome bonus produce no earnings, and their cost is borne by the User. The price of one reply is limited by a cap the User sets in the settings, at most 5 US dollars per reply; in the pricing models that use a markup, the markup on cost does not exceed 5000 percent. Nothing beyond the cap is charged to the Contact Wallet, including where the balance goes negative within one reply.

10.3. Earnings account. The earnings account is kept separately from the User payment balance, in United States dollars, and is not spent on the Platform automatically. The User may at any time transfer funds from the earnings account to the payment balance free of charge, or submit a payout request under clause 10.4. The Operator takes no percentage of the User turnover or profit; the Operator remuneration for paid access is the fee charged on payout.

10.4. Payouts. A payout is made on a User request submitted in the Platform interface to an address specified by the User in a supported USDT network. The minimum request amount and the Operator fee are published on the Earnings page and apply as of the moment the request is submitted; as of this revision the minimum is 50 US dollars and the fee is 5 percent of the request amount. The fee is deducted from the request amount. Only one request may be open at a time; the request amount is frozen on the earnings account until the request is paid or rejected. The User may cancel a request while it is pending.

10.5. Manual processing. Every request is reviewed and executed by the Operator manually. The Operator may ask the User to explain the origin of the receipts and hold execution until the explanation is received. A blockchain transfer is irreversible: the User bears the risk of an error in the address or network given in the request. The Operator notifies the User of the outcome in the Platform interface.

10.6. Operator right to freeze or refuse. The Operator may reject a request, freeze funds on the earnings account, or restrict payouts for the User (stop list) where there is reasonable suspicion of fraud, where Contacts dispute the payments from which the earnings arose, where the User breaches these Terms or the rules of external platforms, or at the demand of a competent authority. If a Contact payment is cancelled or disputed after the earnings from it were credited, the Operator may reduce the earnings account by the corresponding amount and, where it is insufficient, charge the difference to the User payment balance. A payout restriction does not deprive the User of the right to transfer funds to the payment balance unless the Operator states otherwise.

10.7. Availability of funds. Credited earnings become available for payout 7 calendar days after they are credited (the hold). Transfers to the User payment balance are not subject to the hold and are available immediately after crediting. The Operator may change the hold period, giving notice under section 14.

10.8. Refunds to Contacts. The Operator refunds the unspent Wallet balance to a Contact upon the Contact request to support. Earnings already credited to the User are not recalculated unless the refund relates to a breach described in clause 10.6.

10.9. Switching paid access off. When paid access is switched off or the AI agent is deleted, the Contact Wallets and their balances remain with the Operator, and the User earnings account remains available for transfer and payout under this section.

10.10. Taxes and platform rules. The User is solely responsible for tax obligations arising from the earnings. The User confirms that charging for AI agent replies in the chosen Channel does not breach the rules of that platform as applied to the User activity, and accepts the risk of restrictions imposed by the platform.

Paid access: what to know before enabling it

  • Telegram rules. The Telegram rules for bots require digital goods and services sold inside a bot to be paid for with Telegram Stars. Paid access on the Platform takes payment through external payment links, not Stars. Telegram may treat this as a breach and restrict the bot or the account; the Operator cannot prevent this and is not liable for such restrictions. By enabling paid access the User accepts this risk.
  • Disputed payments. If a Contact disputes a top-up (chargeback) after the earnings have been paid out, the Operator may withhold the shortfall from the User earnings account or payment balance (clause 10.6).
  • Topping up your own bot. The Operator cannot technically tell who tops up a Wallet. If a Wallet is topped up with the User own funds, the Operator may refuse the payout and restrict withdrawals.
  • Payouts. Manual only, USDT only; as of this revision, from 50 US dollars with a 5 percent fee; one open request at a time. Earnings become available for payout 7 days after they are credited; transfers to the payment balance are immediate. A wrong address means lost funds.
  • Cost and price cap. The cost of every reply is always charged to the User payment balance, including free and bonus replies. A price below cost means running at a loss. The price of one reply cannot exceed the cap the User sets, at most 5 US dollars; in the pricing models that use a markup, the markup cannot exceed 5000 percent.
  • Offer for Contacts. Contacts see a link to the Offer in the bot; its terms — USD currency, refunds of the balance only through support, provider fees borne by the payer — are binding on the User as well.

11. Intellectual property

Exclusive rights to the Platform, its source code, design, and other materials belong to the Operator. These Terms transfer no rights in them to the User beyond the right to use the Platform for its intended purpose while these Terms are in force.

Rights in materials uploaded by the User, including system prompt texts and knowledge base files, remain with the User. The User grants the Operator the right to use those materials solely to the extent needed to operate the Platform: storing, processing, and passing them to model providers so that answers can be produced. The Operator does not use User materials or the conversations in User channels to train machine learning models.

12. Suspension and blocking

The Operator may suspend access to the Platform in whole or in part where the User breaches these Terms, where there is reasonable suspicion of unlawful use, or at the demand of a competent authority.

The Operator may carry out scheduled maintenance, giving advance notice where practicable.

The User may stop using the Platform at any time and request deletion of the account as described in the Data Deletion document.

13. Limitation of liability

The Platform is provided on an as-is basis. The Operator does not warrant uninterrupted operation of external platforms, model providers, or other third-party services the Platform depends on.

To the maximum extent permitted by the law of the Russian Federation, the Operator is not liable for lost profits, indirect losses, or the consequences of actions taken by the User or their Contacts on the basis of AI agent answers.

The Operator liability under these Terms is in any event limited to the amount actually paid by the User over the three calendar months preceding the event giving rise to the claim.

These limitations do not apply where the law does not permit liability to be limited.

14. Changes to these Terms

The Operator may amend these Terms. A new version is published on the website with its revision date.

Material changes are notified to the User at the email address given on registration, or in the Platform interface, at least ten calendar days before they take effect. Continued use after that date constitutes agreement with the new version. A User who disagrees may stop using the Platform and request a refund of the unspent balance.

15. Governing law, disputes, and details

These Terms are governed by the law of the Russian Federation. Disputes not settled by negotiation are heard by the court at the Operator location. A pre-action claim procedure applies, with a response period of thirty calendar days.
